General Terms and Conditions (GTC)
Version: November 25, 2025
1. Scope
1.1 These General Terms and Conditions (“GTC”) govern all contracts between the heArt Center e.U. (“Provider”) and participants or clients (“Client”) regarding trainings, workshops, retreats, one-on-one sessions, and other services in the fields of somatics and embodiment (“Services”).
1.2 Any conflicting terms of the Client shall only apply if the Provider expressly agrees in writing.
1.3 These GTC apply to both B2C and B2B transactions unless otherwise agreed in writing.
2. Contract Formation
2.1 Offers by the Provider are non-binding unless otherwise stated.
2.2 A contract is concluded when the Provider confirms the Client’s prior registration or booking, submitted via email, online form, or another agreed written format.
2.3 The Provider reserves the right to decline participants without giving reasons.
3. Description of Services
3.1 The Provider delivers the agreed Services (training, workshop, retreat, one-on-one session) as described in the relevant offer.
3.2 The Provider is not a therapist, medical professional, psychologist, or licensed counselor. Services are non-therapeutic and do not constitute medical, psychological, or psychotherapeutic treatment.
3.3 Clients must inform the Provider of any relevant physical, health, or psychological limitations prior to participation to allow for necessary adjustments.
4. Prices & Payment Terms
4.1 Prices are stated net, as indicated in the offer.
4.2 Payment terms are specified in the offer or booking confirmation (e.g., deposit and remaining balance). In case of late payment, the Provider may suspend services or withdraw from the contract.
4.3 Any additional costs (e.g., travel, accommodation, materials) are borne by the Client unless otherwise agreed in writing.
5. Cancellation / Withdrawal / Rescheduling
5.1 Cancellations by the Client must be submitted in writing.
5.2 Refunds & deadlines (standard policy):
Up to 15 days before the workshop/course: 50% of the total fee or minimum €50 processing fee.
Less than 15 days before: no refund or credit possible.
Substitutions are allowed; the substitute’s details (first name, last name, email, phone) must be provided before the event.
Private sessions are fully charged unless canceled at least 48 hours in advance; substitutions are allowed.
5.3 The Provider may cancel or reschedule services due to reasons beyond their control (e.g., force majeure, minimum participant numbers not met). In such cases, Clients are entitled to participate in an alternative date or receive a refund. Further claims (e.g., travel or accommodation costs) are excluded.
5.4 Rescheduling to another date is possible up to [e.g., 30 days] before the service, subject to a possible rescheduling fee if specified in the offer.
6. Client Obligations
6.1 Clients agree to follow the requirements of the booked service (e.g., attending scheduled sessions, following instructions, preparation).
6.2 Clients confirm they are physically, emotionally, and psychologically able to participate and inform the Provider of relevant limitations in advance.
6.3 Clients acknowledge responsibility for applying practices independently; the Provider does not guarantee specific outcomes.
7. Confidentiality & Media
7.1 Both Provider and Clients agree to keep personal and sensitive information shared during Services confidential. Absolute confidentiality cannot be guaranteed.
7.2 Photos, videos, or other media by the Provider are taken only with explicit consent (internal use vs. marketing) and may be revoked.
8. Intellectual Property
8.1 All materials provided by the Provider (handouts, videos, recordings, presentations) remain the Provider’s intellectual property.
8.2 Clients are granted a personal, non-transferable right to use materials. Any other use (sharing, resale, third-party training) is prohibited without written consent.
9. Liability & Disclaimer
9.1 Services are provided with due care, but the Provider does not guarantee specific results.
9.2 To the extent permitted by Austrian law, liability is limited to the amount paid by the Client. Claims for indirect or consequential damages are excluded except in cases of intent or gross negligence.
9.3 Clients acknowledge inherent risks in body- and movement-based practices (e.g., injury, muscle soreness, emotional reactions) and accept responsibility.
10. Right of Withdrawal
10.1 Consumer rights are governed by Austrian Consumer Protection Law (KSchG) and relevant distance/onsite sales laws. For services with fixed event dates, the statutory right of withdrawal may be excluded if the event occurs within 14 days of contract conclusion.
10.2 Specific withdrawal information is provided with the offer or booking confirmation.
11. Data Protection
11.1 The Provider processes personal data in compliance with applicable data protection laws (GDPR, DSG). Details are provided in a separate privacy policy.
11.2 By concluding the contract, Clients consent to the processing of their data for contract execution and service provision.
12. Final Provisions
12.1 These GTC are governed by Austrian law. Place of performance and jurisdiction, where permissible, is Vienna, Austria.
12.2 Should any provision be invalid, the remaining provisions remain effective. The invalid provision is replaced with a legally valid provision closest to its economic purpose.
12.3 Amendments or additions require written form.
12.4 Waiver of rights under these GTC does not constitute a waiver of future rights.
